Senior Lawyer – Banking & Finance
IndiaLaw LLP | Mumbai
IndiaLaw LLP is looking to strengthen its Banking & Finance practice in Mumbai and is seeking an experienced Senior Associate / Senior Lawyer with 8–10 years of relevant experience.
Role and Responsibilities
- Advise banks, financial institutions, NBFCs, corporates, borrowers, sponsors and investors on a wide range of banking and finance transactions.
- Handle banking and lending transactions, including secured and unsecured lending, term loans, working capital facilities and corporate financing.
- Draft, review and negotiate facility agreements, loan agreements, security documents, guarantees, mortgage and hypothecation documents, escrow arrangements and inter-creditor agreements.
- Advise on creation, perfection and enforcement of security interests, lender protections, covenants and events of default.
- Handle structured finance and bespoke financing transactions, including complex financing and security structures.
- Advise on project finance transactions, particularly in infrastructure, renewable energy, power, roads, transportation and other large-scale projects.
- Conduct and supervise legal due diligence relating to financing and project finance transactions.
- Review and negotiate project documents including concession agreements, EPC contracts, O&M agreements, offtake arrangements and direct agreements from a financing perspective.
- Handle refinancing, restructuring, amendments and additional financing transactions.
- Independently manage transactions from term sheet through documentation, negotiation, execution and financial close.
- Lead negotiations with lenders, borrowers, sponsors, financial institutions, clients and opposing counsel.
- Supervise junior lawyers and contribute to the development of the firm's Banking & Finance practice.
Eligibility
- 8–10 years of post-qualification experience in Banking & Finance with Law Firm.
- Strong hands-on experience in banking transactions, structured finance and project finance.
- Experience advising banks, NBFCs, financial institutions, borrowers and/or corporates.
- Excellent drafting, negotiation and transaction-management skills.
- Strong understanding of Indian banking and finance laws and regulations, including RBI regulations and security enforcement laws.
- Ability to independently manage transactions and handle direct client interaction.
- Strong commercial understanding, analytical skills and attention to detail.
- Prior experience with a leading law firm, bank, NBFC, financial institution or corporate legal team will be preferred.
